Terms of Service
Juno Technologies Limited
Effective date: 8 October 2026
These Terms of Service (the Terms) form a contract between you and Juno Technologies Limited (Juno, we, us, or our) and govern your use of the Juno Pay application, website, and related services (the Service).
If you do not agree to these Terms, do not use the Service.
1. Contract and acceptance
These Terms apply when you create an account, access the Service, or confirm a transaction. The transaction details presented to you before confirmation, together with any legally required local or feature-specific notice, form part of these Terms for that transaction.
The version presented when you confirm a transaction governs that transaction. Nothing in these Terms limits a right that cannot lawfully be waived.
Our Privacy Policy explains how we handle personal information. It is a notice and does not replace any separate consent required by law.
2. Eligibility and availability
You may use the Service only if:
- you are at least 18 years old and have legal capacity to enter into these Terms;
- you act for yourself, unless Juno has expressly approved another account type;
- you are in a location where the relevant Service is offered and lawful;
- you are not subject to sanctions or another legal prohibition; and
- the information you provide is complete, accurate, and current.
Creating an account does not mean that you have been approved to make a payment. Transaction features are available only after any identity, eligibility, and other checks required for that feature have been completed and approved. Juno may request updated information or further checks before or during your use of the Service.
The Service is not available in every country or to every person. The assets, networks, destinations, recipient types, payment methods, and any limits available to you are those shown as supported in the Service when you use it. You must not attempt a transaction outside those supported options.
3. Account, verification, and security
You must protect your account, device, authentication methods, and access credentials. You are responsible for activity authorised through your account, except to the extent caused by Juno's breach of duty or protected by law.
Juno may require identity documents, a photograph or liveness check where used, eligibility, source-of-funds, transaction-purpose, recipient, or other information reasonably necessary to provide the Service, prevent fraud, or comply with law. If a required check is pending, declined, expired, or cannot be completed, Juno may prevent a transaction from starting or restrict the affected feature. Juno may ask you to update or repeat a check. Account creation or a previous approval does not guarantee that a later transaction will be accepted.
Our Privacy Policy explains how verification and related personal information is handled, including retention and available privacy rights. Contact support@junopay.co promptly if you suspect unauthorised access, fraud, or loss of access.
4. Service and transaction authorisation
Where made available to you, the Service enables eligible users to use supported USDC on the Solana network for an eligible recipient in Indonesia to receive Indonesian rupiah through a supported bank or e-wallet payment method. Only the asset, network, destination, and payment method shown in the Service are supported.
The Service is not a bank account, deposit, savings product, or investment product. Digital assets are not protected by deposit insurance unless a separate disclosure expressly states otherwise.
Your personal wallet is a self-custody digital-asset wallet. USDC held at your personal wallet address remains yours; Juno does not hold that wallet balance or maintain it as a Juno deposit or account balance. The balance and activity shown in the Service reflect information from the supported blockchain and may be delayed while a transaction is being verified. Access to the wallet through the Service depends on the available wallet and authentication features.
Sending supported USDC to your personal wallet does not by itself convert it into USD or another digital asset. The supported wallet balance shown by Juno is denominated in USDC. A later payment or other outgoing transaction changes that balance as described in these Terms and the transaction details you authorise.
USD figures shown for your wallet balance are reference amounts. The current display uses a nominal assumption of 1 USDC = USD 1; it is not a live market valuation, a USD bank balance, or a guarantee of the amount you can obtain by selling or redeeming USDC. A change to that display basis will be identified in the Service. Displaying a reference amount does not itself convert your assets. A wallet reference amount is separate from the asset quantity, fees, exchange rate, and recipient amount you confirm for a particular payment; the transaction terms and confirmation requirements in this Section continue to apply.
Where the withdrawal feature is available, you may request to send available USDC from your personal wallet to a compatible external Solana wallet address. You must review the destination, amount, supported asset and network, and any fee shown before authorising the transfer. You authorise the transfer by signing it through your wallet; a request or broadcast alone does not mean the transfer has been confirmed on-chain. A confirmed blockchain transfer may be irreversible. Withdrawal may be delayed or unavailable because of legal or compliance restrictions, security checks, insufficient available balance, or a technical or network problem.
A payment to a local recipient follows a different path. When you authorise and sign that payment, USDC is transferred out of your personal wallet and received by Juno for processing before the local-currency payout is made. Once that transfer has occurred, the USDC is no longer available for you to withdraw directly from your personal wallet. Juno remains responsible for completing the payment or providing any refund that is due under Section 5 and applicable law.
Before you confirm a payment, the Service will show the recipient and destination details, the amount and asset to be used, any applicable exchange rate, each Juno fee or other charge, the total amount you authorise, and the amount of Indonesian rupiah shown for the recipient. You must review these details carefully. A small-transfer fee or another charge applies only if it is shown for that transaction before you confirm. A wallet, exchange, or other service you use to obtain or send USDC may charge its own fee; review that service's terms and fee display separately.
By selecting Confirm, you authorise Juno to start processing the payment on the terms then displayed. Confirmation is not a statement that Juno has received the digital asset or that the recipient has been paid. If a quote is no longer available or a material payment term changes before processing, Juno must show you the new terms and obtain your confirmation again before proceeding on those changed terms.
You must review all transaction details carefully. Sending an unsupported asset, using an unsupported network, or providing incorrect recipient information may result in permanent loss.
5. Processing, cancellation, errors, and refunds
After you confirm, a payment may still be awaiting digital-asset receipt, undergoing review, or awaiting local payout. A pending or delayed payment is not the same as a completed or failed payment. Digital-asset transfers and completed local payouts may be irreversible. Whether Juno can stop a payment depends on the stage it has reached; Juno cannot promise cancellation or recovery once an irreversible step has occurred. Any mandatory cancellation or error-resolution right under applicable law continues to apply.
Any completion time shown is an estimate, not a guarantee. A payment may be delayed, reviewed, or refused because of legal or compliance requirements, security concerns, incorrect information, network conditions, recipient restrictions, or circumstances outside Juno's reasonable control. We will make the payment status available in the Service or notify you where appropriate, subject to legal and security limits.
If a payment is confirmed not to have completed and a refund is due under the confirmed transaction terms or applicable law, Juno will provide the refund due and show or notify you of its amount, asset, method, and status. A refund is complete only when the amount has actually been returned through the applicable method; an initiated or pending refund is not a completed refund. A temporary delay or review does not by itself establish that a refund is due.
Where a refund is due in USDC, its amount is expressed in USDC units. Returning those units does not guarantee that they will have the same USD or other fiat-currency value as when the payment was made. This does not reduce any refund, compensation, or other amount due under the confirmed transaction terms or applicable law.
To report an error, suspected unauthorised transaction, or payment that remains unresolved, contact support@junopay.co promptly and provide the relevant transaction reference. Juno will handle the report in accordance with applicable law. Nothing in these Terms limits a mandatory cancellation, error-resolution, or refund right.
6. Compliance and prohibited use
You must use only funds and accounts that you are authorised to use. Juno may request additional information and may reject, delay, restrict, or suspend a transaction or account where reasonably necessary to comply with law, sanctions obligations, fraud prevention, or security requirements.
You must not use the Service:
- for unlawful, fraudulent, deceptive, or abusive activity;
- to evade sanctions, legal restrictions, reporting duties, or transaction limits;
- with stolen, unauthorised, or third-party funds or credentials; or
- to interfere with, probe, overload, or gain unauthorised access to the Service or another account.
Juno may make legally required reports or disclosures without notifying you. We may be prohibited from explaining a restriction, investigation, or report and are not required to disclose confidential compliance or security controls.
7. Third-party and digital-asset risks
Juno may use service providers and financial or technical partners to provide the Service. We may identify a provider or present separate terms only where required by law, necessary for informed use, or because you contract directly with that provider. Juno remains responsible for obligations that cannot lawfully be transferred.
Stablecoins such as USDC are intended to track a reference currency, but their market value can move above or below that reference value ("depegging"). You may lose some or all of the fiat-currency value of your holdings. Juno does not issue USDC and does not guarantee that one USDC will always be worth one USD.
A large number of holders seeking to sell or redeem at the same time, problems with an issuer or its reserve assets, banking or service-provider disruption, or other market stress may reduce liquidity. These events may lead to less favourable prices, wider spreads, or delays, restrictions, or suspensions in redemption, conversion, or local-currency payouts. A transfer of USDC to another wallet is an on-chain token transfer, not a redemption for USD, and does not remove these value risks. Any rights to redeem directly with an issuer are governed by applicable law and the issuer's terms, including eligibility requirements where applicable.
Digital assets, blockchain networks, financial institutions, and payment systems may also experience outages, delays, cyber incidents, freezes, rule changes, or other failures. Juno does not guarantee the value, redemption, or continued availability of a digital asset or third-party service. These risk disclosures do not permit Juno to change confirmed transaction terms without following Section 4, or remove Juno's payment, refund, or other obligations under these Terms and applicable law. Section 9 continues to apply.
8. Restriction and closure
Juno may refuse a payment or restrict, suspend, or close an account or feature where reasonably necessary because of a breach of these Terms, incomplete or failed verification, legal or compliance requirements, fraud or security risk, unavailable services, or circumstances that make continued service unlawful or unsafe. A restriction may prevent you from starting a new payment or using an affected feature while an existing payment is reviewed.
Where lawful and safe to do so, Juno will tell you that access or a payment has been restricted and how to contact support. We may be unable to explain all reasons or provide advance notice where law, an investigation, or security requires otherwise. A restriction or account closure does not by itself cancel a completed payment or remove Juno's obligation to address an unresolved payment or refund that is due.
You may request account closure by contacting support. If supported USDC remains in your personal wallet, you may request to withdraw it before closure using the available withdrawal feature. If you cannot access that feature, contact support so we can explain the available process and any legal, security, or technical restriction. Closing your Juno account does not transfer your personal-wallet balance to Juno. Closure does not reverse a completed transaction, remove a public blockchain record, or end rights and obligations that arose before closure. Juno may retain identity-verification, transaction, security, complaint, and other records where required or permitted by law, as described in the Privacy Policy. Closing an account does not automatically delete those records.
9. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, or limits an amount Juno is legally required to pay or refund. Juno does not exclude liability for fraud, wilful misconduct, gross negligence where it cannot be limited, or any other liability that law does not permit us to exclude.
Subject to the paragraph above, Juno is not liable for indirect or consequential loss that was not a reasonably foreseeable result of our breach. Juno is not responsible for a delay or failure caused by circumstances outside its reasonable control, but this does not remove any non-waivable obligation.
10. Intellectual property and permitted use
Juno and its licensors own the Service, software, branding, and content. Juno grants you a limited, personal, non-transferable, and revocable right to use the Service for its intended purpose.
You may not copy, sell, distribute, misuse, or attempt to gain unauthorised access to the Service, except where applicable law expressly permits otherwise.
11. Changes and communications
Juno may update these Terms prospectively. We will provide notice of a material change and request renewed acceptance where required by law. A change does not alter the confirmed financial terms of an existing transaction.
You agree to receive necessary account, transaction, security, compliance, and policy communications electronically. You may opt out of marketing where offered without opting out of communications necessary to provide the Service.
12. Complaints, governing law, and contact
To report an error or submit a complaint, contact support@junopay.co and include the relevant transaction reference. Juno will respond within the period required by applicable law. You may also contact a competent regulator, consumer authority, or court where applicable.
These Terms are governed by the laws of Hong Kong. The courts of Hong Kong have non-exclusive jurisdiction, subject to any mandatory consumer right or forum available under applicable law.
